End-User License Agreement (EULA)

Preamble and Acceptance of Terms

This License Agreement ("Agreement") governs the use of the Quaesia platform and its associated content, data, graphics, software, and elements ("Software" and "Data"), administered by the French sole proprietorship Quaesia (the "Licensor").

Please read these terms carefully before using the Software or any Data derived from it.

By accessing, using, or downloading the Software or the Data, you (the "User" or "Licensee") acknowledge that you have read, understood, and accepted these terms. If you do not agree to these terms, you must not use the platform or the Data. Any violation of this Agreement will automatically terminate your rights under this License.

1. Grant of License and Third-Party Obligations

1.1. License Grant. The Licensor grants the User a personal, non-exclusive, non-transferable right to use the Software (Quaesia platform) and Data on computers owned, rented, or controlled by the User or their organization.

1.2. Restrictions on Use. The User shall not reproduce, modify, reverse engineer, or make the Software or Data available to third parties without prior written authorization from Quaesia. Reverse engineering is strictly prohibited.

1.3. Third-Party Licenses. The User acknowledges that the content of Quaesia integrates or is built upon various open-source and third-party technologies and datasets. The User undertakes to comply with all associated third-party licenses, including those for: PubMed, MeSH, MongoDB, nltk, spacy, flask, tqdm, torch, transformers model cambridgeltl/SapBERT-from-PubMedBERT-fulltext, Dataset, faiss, BM25s, nodevectors, BERN2, Bootstrap, jquery, jqueryUI, datatables, jstree, fontawesome, cytoscape js, chart.js, popper.js, tippy.js, highlight.js.

2. Restrictions on Distribution and Resale

The Software and the Data, in whole or in part, may not be copied, shared, distributed, resold, sublicensed, or otherwise transferred to any third party.

3. User-Provided Metadata and Annotations

By adding metadata (such as annotations of entity identification or relationships extraction), the User grants Quaesia an unlimited, perpetual, worldwide, royalty-free, and irrevocable right to use, reproduce, modify, and distribute such information. This use includes, but is not limited to: model training, sharing with the scientific community, and commercial exploitation.

The User retains the right to delete their annotations at any time via the Quaesia interface or may request complete deletion via the contact form.

4. Warranties, Liability, and Disclaimer

The Software is provided to the User on an "as is" and "as available" basis, without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

5. Maintenance, Amendments, and Termination

5.1. No Maintenance Obligation. Quaesia is under no obligation to provide maintenance, technical support, updates, or corrections. Quaesia reserves the right to update, modify, or discontinue services and access to Data at any time without notice.

5.2. Amendments. Quaesia reserves the right to amend this Agreement at any time. Continued use of Quaesia after amendments constitutes acceptance of the revised Agreement.

5.3. Termination. Any breach of this Agreement by the User will result in automatic termination of the license rights granted herein.

6. Governing Law, Jurisdiction, and Citation

6.1. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of France.

6.2. Jurisdiction. Any dispute relating to the interpretation or performance of this Agreement shall fall within the exclusive jurisdiction of the courts of Grenoble, France.

7. Citation

7.1. Citation. The User agrees to cite the platform Quaesia in any public use of the Software or Data derived from it.
